You Further Agree That User Content You Submit On The Guppy Kart Platform Will Not Contain Third-party Party Copyrighted Material, Or Material That Is Subject To Other third-party proprietary Rights, Unless You Have Permission From The Rightful Owner Of The Material Or You Are Otherwise Legally Entitled To Post The Material And To Grant Guppy Kart All Of The License Rights Granted Herein.
Guppy Kart Does Not Endorse Any User Content Submitted On The Guppy Kart Platform By Any User Or Other Licensor, Opinion, Recommendation, Or Advice Expressed Therein, And Guppy Kart Expressly Disclaims Any And All Liability In Connection With User Content. Guppy Kart Does Not Permit Copyright Infringing Activities And Infringement Of Intellectual Property Rights On The Guppy Kart Platform, And Guppy Kart Will Remove All User Content If Properly Notified That Such Content Infringes On Another’s Intellectual Property Rights. Refunds

Violation Of Any Applicable Laws;
Your Use Of The Guppy Kart Platform Disrupts Our Business Operations Or Affects Any Other Party/ User; Or
You Have Behaved In A Way, that objectively Could Be Regarded As Inappropriate Or Unlawful Or Illegal, Or Which Would Bring Any Claims Against Guppy Kart.
Guppy Kart Reserves The Right To Decide Whether User Content Violates These Terms And Conditions For Reasons Other Than Copyright Infringement, Such As, But Not Limited To, Pornography, Obscenity, Excessive Length, Or Any Other Parameter That Guppy Kart Deems Fit From Time To Time. Guppy Kart May At Any Time, Without Prior Notice And In Its Sole Discretion, Remove Such User Content And/or Terminate A User’s Account For Submitting Such Material In Violation Of These Terms And Conditions.
We May Suspend Access To The Guppy Kart Platforms Or Require You To Change Your Password If We Reasonably Believe That The Guppy Kart Platforms Have Been Or Are Likely To Be Misused, And We Will Notify You Accordingly. Any Termination Of Your Registration And/or Account Or The Guppy Kart Platforms Will Not Affect Liability Previously Incurred By You.
Effective Of Termination

In Case Any Of The Above-mentioned Cases Occur, Guppy Kart Reserves The Right, In Its Sole Discretion, To Terminate Or Suspend The User’s Account With Immediate Effect. Upon Suspension Or Termination Of The User’s Account:

Guppy Kart Shall At Its Sole Discretion Withhold Or Stop Any And All Payments That Are To Be Made To Such User And Evaluate The Pay-outs. Payments Shall Only Be Made For All Legitimate Work That Is Not Subject Matter Of Any Violation Or Dispute.
Payments Shall Not Be Made For The Work That Is The Subject Matter Of Any Of The Breaches.
User Access Shall Be Terminated Immediately, And The User Shall Not Be Able To Access The Said Terminated Account.
Copyright Infringement

Guppy Kart Operates A Clear Copyright Policy About Any User Content Alleged To Infringe The Copyright Of A Third Party.
As Part Of Guppy Kart’s Copyright Policy, Guppy Kart Will Terminate User Access To The Guppy Kart Platform If A User Has Been Determined To Be A Repeat Infringer. A Repeat Infringer Is A User Who Has Been Notified Of Infringing Activity More Than Twice.
If You Believe That Your Work Has Been Copied In A Way That Constitutes Copyright Infringement, Please Refer To The Instructions Given In The Copyright Policy On How To Make A Claim Of Copyright Infringement.

For The Purpose Of This Clause, Confidential Information Shall Include But Shall Not Be Limited To Employee Details, User Lists, Business Models, Processes, Ideas, Concepts Etc. Indemnity

You Will Release, Indemnify, Defend And Hold Harmless Guppy Kart, And Any Of Its Contractors, Agents, Employees, Officers, Directors, Shareholders, Affiliates And Assigns From All Liabilities, Claims, Damages, Costs And Expenses, Including Reasonable Attorneys’ Fees And Expenses, Of Third Parties Relating To Or Arising Out Of (1) This Agreement Or The Breach Of Your Warranties, Representations And Obligations Under This Agreement; (2) The Website Content Or Your Use Of The Website Content; (3) The Products Or Your Use Of The Products (Including Trial Products); (4) Any Intellectual Property Or Other Proprietary Right Of Any Person Or Entity; (5) Your Violation Of Any Provision Of This Agreement; Or (6) Any Information Or Data You Supplied To Guppy Kart. When Guppy Kart Is Threatened With Suit Or Sued By A Third Party, Guppy Kart May Seek Written Assurances From You Concerning Your Promise To Indemnify Guppy Kart; Your Failure To Provide Such Assurances May Be Considered By Guppy Kart To Be A Material Breach Of This Agreement. Guppy Kart Will Have The Right To Participate In Any Defense By You Of A Third-party Claim Related To Your Use Of Any Of The Website Content Or Products, With Counsel Of Guppy Kart Choice At Its Expense. Guppy Kart Will Reasonably Cooperate In Any Defense By You Of A Third-party Claim At Your Request And Expense.
